Job Descriptions:

1. Contract Management & Commercial Transactions

• Draft, review, and negotiate a wide range of commercial agreements, including:
• Technical service agreements (software development, testing, MBSE, Edge AI)
• Product and hardware agreements (AI camera, ADAS, ECU, IoT/Edge devices)
• Licensing agreements, IP agreements, and AI model ownership and usage terms
• NDA, MSA, SOW, SLA
• Joint development and co-development agreements
• Ensure appropriate legal protection in contractual clauses related to:
• Liability, indemnity, and warranty
• Acceptance criteria and deliverables
• Delivery milestones and payment terms
• Intellectual property ownership (foreground/background IP, AI models, datasets)
• Develop and standardize contract templates for different business lines.

2. International Commercial Law & Cross-border Transactions

• Provide legal guidance on international commercial structures and cross-border operations, including:
• Incoterms, logistics, and import/export matters
• Contract structuring considerations for hardware vs software vs services
• Negotiation with international partners (US/EU/Asia) on: Governing law provisions & Dispute resolution mechanisms (arbitration, jurisdiction)
• Identify and mitigate risks related to:
• Cross-border payment structures
• Transfer pricing and commercial arrangements

3. Product Legal & Compliance

• Ensure legal compliance for technology products, particularly AI and Edge devices, including:
• Data privacy requirements
• Cybersecurity regulations
• Product-related regulatory considerations in international markets

4. Corporate Governance & Internal Legal Framework

• Provide legal advisory on corporate matters, including:
• Corporate governance for joint stock companies
• Board of Directors and shareholder matters
• ESOP structures
• M&A transactions, investments, and capital transfers
• Develop and implement internal legal policies, frameworks, and processes to ensure legal consistency and risk control.

5. Dispute Resolution & Risk Management

• Handle legal disputes and manage legal risk exposure related to:
• Commercial and contractual disputes
• Customer and supplier claims
• Risk mitigation strategies and preventive legal measures

6. Strategic Legal Support for Global Expansion

• Advice on legal structures for international expansion, including:
• Establishment of legal entities in US/EU/Asia
• Regulatory and corporate compliance frameworks in foreign jurisdictions

Job Requirements:

Experience

• Minimum 5–10 years of experience in legal counsel, corporate law, or commercial law
• Experience working at:
  • Technology, engineering, or product companies, OR
  • Law firms specializing in corporate and commercial law

Proven experience in:

• International contracts
• Corporate legal advisory for joint stock companies
• Complex commercial transactions

Required Expertise

• Corporate law and commercial law
• Incoterms and international trade regulations
• Advanced contract drafting and negotiation skills
